Terms of Service

1. Introduction

These Terms and Conditions ("Terms") govern your use of the recruitment, training, and workforce placement services (collectively, the "Services") provided by Smart Jetters ("SmartJetters", "we", "us", or "our") to you ("Client", "you", or "your"). By accessing or using our Services, you agree to be bound by these Terms. If you do not accept these Terms, you are not authorised to use the Services.


2. Services

SmartJetters provides remote staffing services to businesses by delivering:

  • Recruitment: Sourcing, vetting, and matching qualified Virtual Assistants (VAs) and Sales Development Reps (SDRs) based on your business needs, tools, and workflows.
  • Training: Initial systems training to ensure each VA or SDR is familiar with common platforms (e.g., CRMs, communication tools, admin apps) and understands basic business protocols.
  • Employer of Record (EOR): We handle legal employment, payroll, and HR compliance, allowing you to work with talent without incurring direct employment risks or liabilities.

The specific scope of services will be outlined in a separate Service Agreement between you and SmartJetters.


3. Client Responsibilities

You agree to:

  • Provide clear role descriptions, expectations, and preferred tools or systems for the VA or SDR.
  • Grant necessary access to platforms, email accounts, calendars, CRMs, or other tools essential for daily tasks.
  • Engage with and direct the day-to-day work of assigned personnel as if they were part of your internal team.
  • Retain full control over all business, operational, and client-facing decisions.


4. Intellectual Property

All training materials, recruitment frameworks, and proprietary processes used or developed by SmartJetters remain our intellectual property. Any client-specific documents or data remain your property. You are granted a non-exclusive, non-transferable license to use any deliverables produced by assigned personnel for internal business use only.


5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information shared during the course of the engagement. SmartJetters will ensure placed personnel are bound by confidentiality obligations aligned with professional standards.


6. Limitation of Liability

SmartJetters will use reasonable efforts to recruit, train, and assign qualified personnel, but we do not guarantee specific outcomes or performance. We are not liable for any indirect, incidental, special, or consequential damages arising from use of our Services or performance of assigned personnel.


7. Term and Termination

These Terms remain in effect until terminated by either party. You may terminate the Services with written notice in accordance with the terms outlined in your Service Agreement. SmartJetters reserves the right to terminate the engagement for non-payment, breach, or non-cooperation.


8. Entire Agreement

Fees for Services are subscription-based and outlined in your Service Agreement. All payments are due in advance unless otherwise agreed in writing. Non-payment may result in service suspension or termination.


9. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales, without regard to its conflict of laws principles.


10. Dispute Resolution

Any disputes arising under these Terms shall be resolved by confidential arbitration in London, in accordance with the rules of the London Court of International Arbitration (LCIA). The decision of the arbitrator will be final and binding.


11. Amendment

SmartJetters may modify these Terms from time to time. Updated Terms will be posted on our website. Continued use of the Services after changes take effect constitutes acceptance of the new Terms.
